The Situation
Upon approach from Corporate Exchange LLC, a credit union service organization of a consortium of corporate credit unions, Primary Financial’s parent company made the decision to explore strategic alternatives, which included a possible sale. After considering alternatives and determining that a sale was the best option to maximize value, Primary Financial pursued a transaction with Corporate Exchange, as the combination of the two companies provides broader access to the end markets and the ability to leverage Primary Financial’s strengths.
Financial Advisor
Primary Financial selected KPMG Corporate Finance as its financial advisor in the sale process. KPMG Corporate Finance provided negotiating advice on the transaction structure, on the pricing of the deal terms, and on other aspects of the transaction, such as support service agreements.
